Depending on the available starting capital and the purpose of the business one will first decide if he wants to start a capital based company such as a Ltd or a LLC or a more personal based company such as a Sole Proprietorship.

Here are the most common Swiss Company Legal Forms:

  1. Limited (Ltd) – (Aktiengesellschaft)
    The LTD is suitable for small to large companies with a minimum capital of CHF 100’000 (minimum CHF 50’000 paid). Liability is limited to the company capital. Foundation costs are ca. CHF 2’000 – 3’000.
  2. Limited Liability Company (LLC) –  (GmbH)
    The LLC is suitable for small to medium sized companies with a minimum capital of CHF 20’000. Liability is limited to the company capital. Foundation costs are ca. CHF 2’000 – 3”000.
  3. Sole Propietorship – (Einzelunternehmen)
    A sole proprietorship is suitable for a single person. There is no capital requirement. Liability is not limited. Foundation costs are ca. CHF 500 – 1’000.
  4. Partnership – No Capital requirement (Kollektivgesellschaft)
    A partnership is suitable for two or more people and for smaller companies. No capital requirement but liability is not limited. Foundation costs are ca. CHF 1’000 – 2’000.
